Introduction

Welcome to shappy! These Terms and Conditions (“Terms” or “Agreement”) govern your access to and use of the shappy mobile application, shappy Chrome and Safari browser extensions, the shappy website at joinshappy.com, and any other related services provided by us (collectively, the “Service” or “Services”). This is a binding legal agreement between you (“you” or “User”) and shappy (operated by The Limitls Company Limited, registered in Masdar City Free Zone, Abu Dhabi, United Arab Emirates with the registration number MC 13948, referred to as “shappy”, “we”, “us” or “our”).

PLEASE READ THESE TERMS CAREFULLY. By using any part of the Service, or by clicking an acceptance button or checking a box for these Terms (if provided), you agree to these Terms and our Privacy Policy (which is incorporated by reference).

1. Acceptance of Terms

• Eligibility: You must be an individual at least 18 years old (or the age of legal majority in your jurisdiction) to use shappy. By using the Service, you represent that you are of legal age and capable of entering into a binding contract. If you are using shappy on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms, in which case “you” will refer to that entity as well. shappy is intended for personal, non-commercial use by individual consumers. (Separate agreements may govern business use of any shappy tools; unless such an agreement exists, these Terms apply.)

• Visitor or Member: Using the Service in any manner, even without creating an account (as a “Visitor”), signifies your acceptance of these Terms. If you sign up and create an account (“Member”), you agree to abide by these Terms as well. The terms “use” or “using” include accessing, installing, or downloading the Service.

• Updates to Terms: shappy may modify these Terms from time to time. We will update the “Last Updated” date above when we make the change. If changes are material and affect your rights or obligations, we will take reasonable steps to notify you (via email or a notification in the app). Continued use of the Service after updated Terms go into effect will constitute your acceptance of the changes. If you do not agree to any updated Terms, you should stop using the Service and, if applicable, uninstall our app/extension and terminate your account.

• Additional Terms: Some features of shappy may be subject to additional guidelines, terms, or rules that will be presented to you when you use those features. All such additional terms are incorporated by reference into these general Terms. In the event of a conflict between these general Terms and additional terms, the additional terms will prevail for that specific feature or service.

2. Description of the Service

shappy is a shopping companion service designed to help you save money, track your orders, and enhance your online shopping experience.

Key aspects of our Service include:

• Automatic Promo Codes: shappy provides a browser extension and app that automatically finds and applies verified coupon codes and promo codes during your checkout process on various e-commerce sites. When you reach the coupon or promo code stage of checkout on a supported retailer’s website, the shappy extension will offer available discount codes for you to try. These codes may originate from our regularly updated database of verified codes. We strive to provide only active and valid codes; however, we cannot guarantee that every code will offer a discount or that we’ll find the best deal every time (see Disclaimers below).

• Order Tracking: If you link to your email inbox, shappy will track and display all your online orders in one place. We extract package tracking numbers and order updates from your retail purchase confirmation emails to provide you with real-time status updates on your deliveries. If you have any personalized promo codes in your inbox, we will also pull them and show them to you in the shappy app.

• Browser Extensions: The shappy Chrome and Safari extensions accompany you during your shopping journey on desktop. The extension can detect when you’re on a merchant’s site and will notify you of available coupons, deals, or price comparisons. It might also provide additional information, such as price history or alternative product recommendations. The extension will only activate on shopping-related sites and relevant pages (like a cart or product page) to offer savings opportunities. It does not inject unrelated ads; its purpose is to help you save time and money when shopping. By installing the extension, you grant shappy the ability to read and modify content on the websites you visit, but only to the extent needed to find discounts or facilitate your purchases (for example, to input coupon codes or display our toolbar on the site). For more details on the data the extension collects, please refer to our Privacy Policy.

• Free Service and How We Make Money: Currently, shappy does not charge users for its Services. It is provided to you at no cost. We may earn revenue through affiliate partnerships or commissions from retailers when you purchase using shappy (for example, if you use a coupon or link provided by shappy, the retailer might pay us a small referral fee). We may also feature special promotions from partners. Rest assured, these are designed to save you money and do not increase the price you pay. By using the Service, you acknowledge and agree to this model. We disclose sponsored deals or partner offers when presented.

Important: While we strive to make shappy a reliable and helpful service, there are aspects beyond our control. Shappy is not the seller of the products you purchase; we help facilitate your shopping. Any actual purchase of goods is solely between you and the merchant (see Transactions with Merchants below). We do not guarantee that the merchant will accept any coupon or deal we provide or that the prices shown are the lowest available. We aggregate information and tools for your convenience, but final decisions and purchases are yours.

3. Account Registration and Security

• Account Creation: To utilize the shappy app, you need to create an account. When creating an account, you agree to provide truthful, accurate, current, and complete information about yourself as prompted by our registration form (including your name, a valid email address, and phone number, etc.). You also agree to update this information to keep it accurate and current. You are responsible for maintaining the accuracy of your account information.

• Account Security: You are responsible for maintaining the confidentiality of your account login credentials (username and password or third-party login credentials). Do not share your account with others. You agree to immediately notify shappy at support@joinshappy.com if you suspect any unauthorized use of your account or any other breach of security. Note that shappy will not be liable for any loss or damage arising from your failure to safeguard your credentials.

• Multiple Accounts: You may not create multiple accounts for disruptive or abusive purposes, or to take advantage of promotional offers in bad faith. You also may not “squat” on usernames or create accounts with the intent to sell them. We reserve the right to reclaim usernames on behalf of businesses or individuals that hold a legal claim or trademark on those names.

• Termination of Account: You can choose to deactivate or delete your shappy account at any time through the account settings or by contacting us (see Termination below for more details). We also reserve the right to suspend or terminate your account if we determine that you have violated these Terms or pose a risk to the Service or other users.

4. User Permissions and Consents

shappy provides various features that require certain permissions from you. By using the Service, you grant the following consents (which you can revoke as described):

• Email Access Consent: If you opt to connect your email account with shappy (for order tracking and coupon discovery), you explicitly authorize shappy to securely access your inbox for relevant emails (such as order confirmations, shipping notices, and promotional emails from retailers). We will use that access solely to provide the Services (e.g., order tracking updates, pulling discount codes), in accordance with our Privacy Policy and, if applicable, the policies of the email provider (e.g., Google’s API policies for Gmail). You can revoke this access at any time via the shappy app settings or through the permissions for your email account’s connected apps. Revoking access will stop further email scanning, but will not affect any data already gathered (which we can delete upon request as per our Privacy Policy).

• Browser Extension Permissions: By installing and enabling the shappy browser extension, you give it permission to run in your browser and interact with websites you visit. Specifically, the extension may read and modify data on the websites you visit to find coupons, display notifications, fill in promo codes at checkout, and otherwise perform its functions. For example, when you’re on a checkout page, the extension reads the page to detect if there’s a promo code field and inserts a code if you choose. The extension may also need to view your shopping cart to determine which products you’re purchasing (for offering relevant alternatives or tracking price drops). The extension does not collect your browsing history unrelated to shopping assistance (we do not care about your unrelated web activity). By using it, you consent to this functionality. You can disable or remove the extension at any time via your browser settings.

• Notifications: You consent to shappy sending you messages, alerts, and emails as part of delivering the Service. This includes push notifications on your device (if enabled) for events such as new deals, price drops, or order updates, as well as emails for account verification, newsletters (if subscribed), and important announcements. You can manage your notification preferences in the app settings or unsubscribe from marketing emails via the provided link in those emails.

• Consent to Electronic Communications: By using the Service, you agree that we can communicate with you electronically regarding your account, security, legal, and other administrative issues. If we are required by law to send a written notice, we may choose to send it electronically (for example, via email) unless the law requires otherwise.

5. User Conduct and Acceptable Use

We expect users to behave responsibly and use shappy for its intended purposes. By using shappy, you agree NOT to engage in any of the following prohibited activities:

• No Illegal Use: You may not use the Service for any unlawful purpose or in violation of applicable export laws.

• No Unauthorized Access: You must not attempt to access restricted systems, breach security, or interfere with our infrastructure.

• No Abuse of Service: You may not use bots or automated tools to interact with the Service, except via approved public APIs.

• No Exploitation: You must not commercially link to, frame, reverse engineer, or replicate any part of the Service without consent.

• Respect Intellectual Property: You may not upload or share content that infringes third-party intellectual property or proprietary rights.

• No Misrepresentation or Fraud: You must not impersonate others, engage in fraud, or exploit the Service for dishonest gains.

• No Offensive or Illegal Content: You may not harass, defame, or send obscene, hateful, or unlawful communications via the Service.

• No Data Mining of Other Users: You must not collect or scrape personal information from other users without their explicit authorization.

• Compliance with Third-Party Terms: You must adhere to the terms of third-party platforms integrated with shappy, such as email or browsers.

6. Transactions with Third-Party Merchants

shappy facilitates your interactions with third-party e-commerce merchants, but shappy is not a retailer or seller of the products you browse or purchase via our Service. Here’s what you need to know about third-party dealings:

• Not a Seller or Party to Transactions: When you purchase an item from a merchant through shappy, your purchase is solely between you and the merchant. shappy does not have control over, and is not responsible for, the quality, safety, legality, or delivery of the goods or services you pay for on those merchant sites. We do not process your payment for those goods (it’s done through the merchant’s checkout). We cannot issue refunds or returns for these transactions; you must contact the merchant directly for any issues.

• Coupon and Deal Accuracy: We display coupons, discount codes, product information, and other deals from various sources. While we strive to ensure that the information is up-to-date and accurate (we even verify many coupons automatically), we obtain much of this content from third parties or the community. It may not always be complete or current. A code might expire by the time you try it, or a product might go out of stock.

• Order Issues: If you encounter issues with a merchant purchase (for example, the product is defective, the shipment is delayed, or you were charged incorrectly), you must contact the merchant directly to resolve the issue. shappy does not have the authority to resolve merchant-side problems. We can provide you with information (such as your order details, which we are aware of, and links to customer service), but we cannot intervene in the actual transaction or compel a merchant to take action. The merchant’s terms and policies govern your rights regarding a purchase (cancellations, returns, warranties).

• Payments: shappy will not collect your payment information for third-party purchases. When you go to checkout on a retailer’s site, you input your payment details directly with that retailer.

• Interactions with Merchant Sites: When shappy redirects you to a third-party site or shows content from a third-party, keep in mind you are subject to that site’s own terms and privacy practices. For instance, the moment you land on a retailer’s site (even if via our extension), any data collected by that site is done so in accordance with their policies, not ours.

7. Intellectual Property Rights

• Shappy’s IP: Unless otherwise indicated, shappy (and/or its licensors) owns all rights, title, and interest in and to the Service, including all content, information, software, code, data, design, graphics, and the shappy logo/brand (collectively, the “Shappy IP”). The Shappy IP is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. shappy reserves all rights not expressly granted to you in these Terms. You are granted a personal, revocable, non-transferable, non-sublicensable, limited license to install and use the shappy app and extensions, and to access the website, solely for your personal, non-commercial use and in accordance with these Terms. You do not acquire any ownership interest in our Service or content by using it.

• Restrictions: You may not (i) copy, modify, or create derivative works based on the Shappy IP; (ii) distribute, transfer, sublicense, lease, lend, or rent the Service to any third party (this includes selling or giving away your account); (iii) reverse engineer, decompile, or disassemble any part of the Service or the software underlying it, except to the extent allowed by law; (iv) remove or obscure any copyright, trademark, or other proprietary notices displayed on any content or within the Service; (v) use any shappy name, logo, or trademark without our prior written consent.

• Feedback: If you provide feedback, ideas, or suggestions to shappy regarding the Service (“Feedback”), you acknowledge that the Feedback is not confidential and you grant shappy an unrestricted, worldwide, irrevocable, perpetual, sublicensable, transferable, royalty-free license to use the Feedback in any manner, without any obligation to attribute or compensate you. We love hearing from users, but please understand we may already be working on similar ideas and that you offer Feedback without any expectation of any ownership or remuneration.

• Notice and Takedown: If you believe that any content on our Service (including deals, images, or descriptions) infringes your intellectual property rights, please notify us with detailed information so we can investigate and remove it if necessary. We comply with intellectual property laws and will respond to proper notices of infringement.

8. Privacy

Your privacy is of the utmost importance to us. Our Privacy Policy describes how we collect, use, and share your personal information when you use the Service. By using Shappy, you consent to the collection and use of your information as outlined in the Privacy Policy. We encourage you to read it carefully, as it contains essential information about what data we gather and how we safeguard it..

If you’re ever in doubt, remember: we prioritize privacy and security. We do not sell your personal data, and any data we share with third parties is anonymized or strictly limited to service provision (as detailed in the Privacy Policy). 10. Limitation of Liability

To the extent permitted by law, in no event shall shappy (or its officers, directors, employees, agents, partners, or licensors) be liable to you for:

• Any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangibles, arising out of or related to your use of (or inability to use) the Service. This includes, for example, any harm to your device or loss of data that may result from your use of the app/extension, or losses in savings that you think you might have missed by not getting a coupon.

• Direct damages in excess of (in aggregate) the greater of AED 500 (five hundred UAE dirhams) or the total amounts paid by you to shappy in the 12 months immediately preceding the claim (note: since shappy is typically free, this is likely zero). This limitation applies to any claim arising from any cause of action (contract, tort, negligence, strict liability, or otherwise).

For example, if due to an error in shappy, you didn’t get a discount you could have, we are not liable for the money you didn’t save. Or if shappy gave a bad recommendation and you bought something you didn’t like, we are not liable for that disappointment or cost. Or if your use of shappy somehow causes a dispute with a merchant or a third party, our liability to you is limited as stated.

Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply fully to you. In those cases, our liability will be limited to the maximum extent permitted by law.

11. Termination

• These Terms represent an agreement you have with us for the duration of your use of the shappy Services.

• These Terms apply (as amended from time to time) until terminated.

• You can stop using shappy at any time. You may also delete your account by following the instructions in the app or contacting our support. Deletion of your account will be handled in accordance with our Privacy Policy (your data will be removed or anonymized, subject to lawful retention requirements). Keep in mind that uninstalling the app or extension alone may not delete your account or data; please ensure you follow the proper account deletion process if that is your intent.

• We reserve the right to suspend or terminate your access to the Service (or certain features of the Service) at any time, for any reason, and without advance notice, including if we believe you have violated these Terms or if we decide to discontinue the Service. For example, if we detect abuse, fraud, or security risks associated with your account, we might disable it. If feasible and lawful, we will attempt to notify you of the reason for termination or suspension.

• Upon termination of your account or this Agreement for any reason, your right to access and use the Service will immediately cease. You should promptly remove any browser extensions and delete the shappy app.

• If your account is terminated, you may lose access to any information stored in association with your account (though we might retain certain data as required or permitted by law).

• shappy reserves the right to discontinue or modify any aspect of the Service at any time. We continually improve, but please note that features are subject to change or removal. We will provide advance notice if any core feature is sunsetted. If the entire Service is discontinued, we’ll make a reasonable effort to notify you so that you can retrieve your data.

12. Governing Law

This Agreement and any disputes arising out of or in connection with it shall be governed by and construed in accordance with the laws of the United Arab Emirates. Each party agrees to submit to the exclusive jurisdiction of the courts in the Emirate of Abu Dhabi, United Arab Emirates.

13. Disclaimer

• To the fullest extent permitted by law, shappy disclaims all warranties, express, implied, or statutory, regarding the Service, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. For example, we do not warrant that:

• The performance of our Website or App.

• The use or access to our Website or App will be uninterrupted.

• Our App, Web Extension, or Website is free of any virus or other computer software routine intended or designed to permit unauthorised access to your computer system or disable, damage, erase, disrupt, or impair the normal operation of your computer system.

• Our App, Web Extension, and Website (including any Content) are provided to you “as isˮ and on an “as availableˮ basis and on the condition that you undertake all responsibility for assessing the suitability of accessing and using our App, Web Extension, Website, and Services, and your use and access of our App, Web Extension, and Website is entirely at your discretion own risk.

• The coupons or promo codes provided will actually result in savings for your order.

• The product information or prices we display are the most current or lowest. Prices can change quickly and may differ by region.

• The order tracking information is always up-to-date and error-free, relying on information from your emails or partners.

• These Terms (along with any additional terms for specific features and our Privacy Policy) constitute the entire agreement between you and shappy regarding the Service, and supersede any prior agreements or understandings between you and us relating to the Service. Any waiver of any provision of the Terms will be effective only if in writing and signed by shappy.

• shappy shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, such as natural disasters, acts of government, war, terrorism, riots, labor disputes, internet or power outages, or other force majeure events.

• These Terms may be provided in languages other than English. However, the English version of these Terms shall prevail in case of any conflict or discrepancy in interpretation. All communications and notices to be made or given pursuant to these Terms must be in the English language, unless we expressly agree otherwise.
